Terms of Use.
These Terms govern your access to and use of the ClearLedger websites, application, APIs, and PDF bill and receipt parsing services (the “Service”).
1. Acceptance and eligibility
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization. You must be at least 18 years old or the age of legal majority where you live.
2. Accounts and access
You must provide accurate information, protect your credentials or beta access password, and promptly notify us of suspected unauthorized use. You are responsible for activity under your access credentials. We may refuse registration, require credential changes, or limit access to protect the Service or other users.
3. Your documents and permissions
You retain ownership of documents and data you submit. You grant ClearLedger a limited, non-exclusive license to host, reproduce, process, and display that content only as needed to provide, secure, maintain, and improve the Service.
You represent that you have all rights and permissions needed to upload and process each document. Do not upload documents unlawfully or process another person’s information without authorization.
4. Acceptable use
You may not:
- Use the Service for unlawful, fraudulent, deceptive, or abusive activity.
- Upload malware, attempt unauthorized access, probe security, bypass limits, or disrupt the Service.
- Use automated means to overload, scrape, or extract from the Service except through an authorized API.
- Reverse engineer the Service except where applicable law expressly permits it.
- Use the Service to make fully automated decisions that produce legal or similarly significant effects without appropriate human review.
5. Extraction results and professional review
Results may be incomplete, inaccurate, or incorrectly classified. Confidence scores are review signals, not guarantees. You are responsible for checking source documents and corrected exports before reimbursement, bookkeeping, reporting, tax preparation, payment, or any other consequential use.
6. Paid plans, renewals, and taxes
When paid plans become available, the price, billing interval, included usage, and material limits will be shown before purchase. Subscriptions will renew automatically at the disclosed interval until canceled. You may cancel before the next renewal to stop future charges; cancellation does not ordinarily create a retroactive refund.
You authorize our payment provider to charge the payment method you supply. Prices may exclude taxes, which may be added where required. Refund eligibility is governed by our Refund Policy.
7. Beta features and changes
Beta or preview features may be incomplete, change without notice, or be discontinued. We may modify features, limits, providers, or pricing. If a change materially affects a paid subscription, we will provide notice as required and apply pricing changes no earlier than the next permitted billing cycle.
8. Intellectual property
The Service, software, interface, branding, and documentation are owned by ClearLedger or its licensors and are protected by applicable law. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
9. Third-party services
The Service depends on third-party hosting, network, font, and—when enabled—payment services. We are not responsible for third-party services outside our control, and their separate terms and policies may apply.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay, or materially disrupt the Service. Where practicable, we will provide notice and an opportunity to export or delete data, unless immediate action is reasonably necessary.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” ClearLedger disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted availability or error-free extraction. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, ClearLedger will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity. ClearLedger’s aggregate liability arising from the Service will not exceed the greater of USD $100 or the amount you paid ClearLedger during the 12 months before the event giving rise to the claim. This limitation does not apply where prohibited by law.
13. Changes to these Terms
We may update these Terms. We will post the revised version with a new effective date and provide additional notice when required. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using the Service.
14. Contact and disputes
